These Terms of Use (“Terms”) govern your receipt of medical services from Tiger Medical, PLLC (“Tiger Medical,” “we,” “us,” or “our”), an independent medical provider group, when those services are accessed through a telehealth technology platform (the “Platform”). The Platform is owned and operated by a third party; it is not owned, operated, or controlled by Tiger Medical. Tiger Medical is responsible only for the medical services delivered by its providers — not for the Platform's technology, availability, security, or administration. By creating an account on the Platform, submitting an intake form, or otherwise requesting or receiving medical services from Tiger Medical through the Platform, you agree to be bound by these Terms. If you do not agree, do not request services from Tiger Medical through the Platform.

1. Eligibility

To use the Platform, you must:

Be at least 18 years of age, or the age of majority in your state of residence. Tiger Medical does not provide services to minors and does not accept consent or signature on behalf of a patient by a parent, legal guardian, or other proxy;

Be physically located, at the time of each consult, in a state in which Tiger Medical and its providers are licensed and authorized to practice;

Provide accurate, current, and complete information during registration and intake; and

Have the legal capacity to enter into a binding agreement.

2. Nature of Our Services

Tiger Medical is an independent medical provider group. Our providers deliver asynchronous and synchronous telehealth consultations to patients through the Platform. The Platform through which Tiger Medical delivers care is a HIPAA-aligned, SOC 2-audited white-label telehealth technology solution owned and operated by an independent third-party company (the "Platform Operator"). Under a written Master Services Agreement, the Platform Operator provides Tiger Medical with the technology platform used for care delivery, together with management, administrative, customer service, technology support, and fulfillment services that support the Medical Group's provision of clinical care. The Platform Operator does not practice medicine, and Tiger Medical does not own, host, or administer the Platform. Tiger Medical is a cash-pay medical practice that does not bill health insurance and does not conduct the standard electronic transactions that would technically classify it as a "covered entity" under the Health Insurance Portability and Accountability Act ("HIPAA"); accordingly, HIPAA does not directly govern our services, and the Platform Operator correspondingly does not act as a HIPAA "business associate" of Tiger Medical. Notwithstanding that technical status, Tiger Medical voluntarily maintains privacy and security practices consistent with HIPAA standards for all patients, and complies with the privacy, consumer-protection, telehealth, confidentiality-of-medical-information, and health-data laws of every state in which it treats patients, including but not limited to the California Confidentiality of Medical Information Act ("CMIA") and California Consumer Privacy Rights Act, the Washington My Health My Data Act, the Texas Medical Records Privacy Act, and the applicable consumer-privacy statutes of Colorado, Connecticut, Nevada, Virginia, and other states (collectively, the "Privacy Laws"). Patient information is protected under those Privacy Laws, under the Platform Operator's written privacy and security policies, and under the administrative, technical, and physical safeguards Tiger Medical requires by contract. You should understand that the Platform Operator provides similar infrastructure to multiple independent healthcare organizations and medical groups. While technical, administrative, and physical safeguards are contractually required to segregate patient data by client, the Platform is a shared technology environment rather than a system dedicated exclusively to Tiger Medical. In the event of a security incident affecting the Platform Operator or Tiger Medical, Tiger Medical will comply with its notification obligations under the Privacy Laws applicable to each affected patient, including where required by the state consumer-privacy and health-data statutes referenced above, and where applicable under the Federal Trade Commission's Health Breach Notification Rule. The Platform Operator has independent notification obligations to Tiger Medical under the Master Services Agreement and applicable law. All clinical decisions, including whether to prescribe, decline to prescribe, or discontinue any medication, are made solely by your treating Tiger Medical provider using independent clinical judgment.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify Tiger Medical promptly of any unauthorized use of your account or any other breach of security.

Tiger Medical is not liable for any loss or damage arising from your failure to safeguard your account credentials.

Your Platform account — including registration, login, password management, and other account administration features — is provided and maintained by the Platform's third-party operator, not by Tiger Medical. Tiger Medical does not manage patient accounts and cannot make changes to your account on your behalf.

The following functions are provided by the Platform Operator, not by Tiger Medical, and any questions about them should be directed to the Platform Operator: (a) account creation, login, credential management, and account administration; (b) technical operation of the video, audio, and messaging features used for consults; (c) scheduling and appointment reminders; (d) payment processing, invoicing, refunds, and collections; (e) mobile application functionality on iOS and Android; (f) uptime, connectivity, and technical support; (g) transmission of prescriptions to pharmacies and delivery of laboratory results into the electronic health record; (h) customer service and order fulfillment; and (i) storage and back-up of records within the Platform environment. Tiger Medical remains solely responsible for the clinical services delivered by its licensed providers.

4. Medical Services and Informed Consent

Use of the Platform to request or receive clinical care is subject to a separate Telehealth General Consent, which you must review and sign before receiving services. That Consent describes, among other things, the use of compounded, off-label, and non-FDA-approved medications and the limitations of async and sync consults. In the event of a conflict between these Terms and the Telehealth General Consent regarding clinical care, the Telehealth General Consent will control.

5. Payments, Billing, Refunds, and Collections

Tiger Medical provides medical services only. We do not process payments, issue invoices, manage billing, issue refunds, or perform collections. These functions are performed exclusively by our third-party payment processor, platform operator, or contracted pharmacy, as applicable, and not by Tiger Medical.

Fees for consultations, medications, and any subscription or membership plans are disclosed to you at the time of purchase through the Platform and are subject to change with notice from the applicable vendor.

Payment is due at the time of service or as otherwise specified at checkout through the Platform.

Any request for a refund, billing correction, chargeback, or dispute regarding a charge must be submitted directly to the payment processor or platform operator that processed the transaction. Tiger Medical does not determine, approve, or issue refunds and has no authority over a vendor's refund decisions.

Medication shipments, including any related returns or cancellations, are subject to the policies of our contracted pharmacy partners; such requests must be directed to the fulfilling pharmacy, not to Tiger Medical.

Tiger Medical does not perform collections activity. Any collections matters relating to an unpaid balance are handled by the applicable payment processor, platform operator, or a third-party collections agency engaged by that vendor.

6. Prohibited Conduct

You agree not to:

Provide false, misleading, or incomplete information in your intake, profile, or communications with providers;

Use the Platform to obtain medications for any person other than yourself, or to resell, share, or divert any prescribed medication;

Attempt to interfere with, disrupt, or gain unauthorized access to the Platform or its underlying systems;

Use the Platform for any unlawful purpose or in violation of any applicable local, state, or federal law; or

Harass, threaten, or abuse Tiger Medical staff or providers.

Violation of this section may result in suspension or termination of your account and, where appropriate, referral to law enforcement.

7. Intellectual Property

Any content that Tiger Medical provides directly to you — such as educational materials, treatment plans, correspondence, and our name, logo, and trademarks — is the property of Tiger Medical or its licensors and is protected by applicable intellectual property laws. The Platform itself, and the software, design, and other content that make up the Platform, are owned by the Platform's third-party operator and are governed by that operator's own terms, not by Tiger Medical. You may not copy, modify, distribute, or create derivative works from Tiger Medical's content without prior written permission.

8. Disclaimer of Warranties

OUR MEDICAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE PLATFORM IS OWNED AND OPERATED BY A THIRD PARTY, NOT BY TIGER MEDICAL, AND TIGER MEDICAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TIGER MEDICAL DOES NOT WARRANT THAT ANY PARTICULAR TREATMENT OUTCOME WILL BE ACHIEVED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TIGER MEDICAL, ITS OWNERS, PROVIDERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS IS INTENDED TO LIMIT LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to indemnify and hold harmless Tiger Medical and its owners, providers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Platform.

11. Third-Party Platforms, Pharmacies, and Storefronts

Tiger Medical is a medical provider company. We provide clinical evaluation, prescribing, and related provider services. We do not perform advertising, do not process payments or refunds, do not manage patient accounts or billing, and do not perform collections. We do not own or operate, and are not responsible for, the following, which may be provided by independent third parties under separate agreements:

Advertising and Storefronts: We are not liable for the advertising, marketing claims, pricing displays, or promotional content published by any third-party storefront, marketplace, affiliate, or reseller through which our services may be discovered or accessed.

Payments, Billing, Refunds, and Collections: Tiger Medical does not process payments, issue invoices, manage billing or patient accounts, issue refunds, or perform collections. These functions are performed exclusively by the applicable payment processor or platform operator. Any refund request, billing dispute, chargeback, or collections matter must be resolved directly with that vendor — Tiger Medical has no authority to approve or issue refunds or to resolve billing or collections disputes.

Pharmacy and Shipping Logistics: We do not select, own, or operate the pharmacies that fill prescriptions issued by our providers, and we do not control pharmacy inventory, compounding, packaging, shipping carriers, or delivery timelines. Concerns regarding order fulfillment, shipping delays, damaged packages, or lost shipments should be directed to the fulfilling pharmacy or shipping carrier.

Platform, EMR, and Support: We do not own or manage the technology platform, electronic medical record (EMR) system, patient account or billing management tools, or non-clinical customer support team that may facilitate your access to our providers. These functions may be operated by independent third-party vendors.

Transition of Care by Third-Party Vendors: A storefront, marketplace, platform operator, or other third-party vendor through which you accessed our services may, at its own discretion, change its provider network, transition your care to a different medical group, or terminate its relationship with Tiger Medical. We have no control over such decisions and cannot guarantee continuity of care through that vendor. In that event, Tiger Medical may no longer be authorized or able to continue treating you through that platform, and you may need to establish care with the new provider group or elsewhere. Tiger Medical is not liable for any interruption, delay, or discontinuation of treatment resulting from such a transition.

This section does not limit our obligations regarding your clinical care or the privacy and security of your protected health information as described in our Notice of Privacy Practices.

12. Reviews, Feedback, and Regulatory Complaints

We take patient concerns seriously and encourage you to contact us directly at notices@lion.md or (561) 652-5360 so we may address them.

That said, Tiger Medical reserves the right to pursue all available legal remedies, including a claim for defamation, against any individual who knowingly publishes false statements about Tiger Medical or its providers with actual malice — that is, with knowledge that the statements are false or with reckless disregard for their truth. This provision does not limit or penalize truthful statements, good-faith reviews, or good-faith complaints made to a regulatory or licensing authority.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the medical services provided by Tiger Medical (other than a claim for medical malpractice, which shall proceed as required by applicable law) shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, seated in Pinellas County, Florida, and conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The parties waive any right to a jury trial and agree that any dispute shall be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Pinellas County, Florida to protect its intellectual property or confidential information. The venue for any non-arbitrable claim shall be the state or federal courts located in Pinellas County, Florida.

14. Changes to These Terms

Tiger Medical may update these Terms from time to time. Material changes will be communicated to you through the Platform or by email, and continued use of the Platform after such changes constitutes acceptance of the revised Terms.

15. Termination

Tiger Medical may suspend or terminate the medical services we provide to you at any time, with or without cause or notice, including for violation of these Terms. Because the Platform is owned and operated by a third party, any suspension or termination of your account or access to the Platform itself is controlled by the Platform's operator, not by Tiger Medical. You may stop receiving services from Tiger Medical at any time by contacting us using the information below.
